Terms of Service

# NEXUS CRM — TERMS OF SERVICE

Balanced Pro LLC (“Balanced Pro,” “we,” “us,” or “our”) operates the Nexus CRM platform (“Nexus,” “the Service”) available at balancedpro.nexus. By accessing or using the Service, you (“Customer,” “you,” or “your”) agree to these Terms of Service (“Terms”). If you are using Nexus on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

1. THE SERVICE

Nexus is a cloud-based customer relationship management (CRM) platform that provides lead management, pipeline tracking, AI-powered sales assistance, SMS and email communication tools, campaign management, and related features for sales teams.

2. ACCOUNTS AND ACCESS

*2.1 Account Creation.* To use Nexus you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

*2.2 Account Security.* You are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activity that occurs under your account. Notify us immediately at security@balancedpro.com if you suspect unauthorized access.

*2.3 User Roles.* Nexus supports multiple user roles within each organization (Admin, Manager, Agent). Admins are responsible for managing their organization’s users and data within the Service.

*2.4 Acceptable Use.* You agree not to:
– Use the Service for any unlawful purpose
– Attempt to gain unauthorized access to any part of the Service
– Interfere with or disrupt the Service or servers
– Reverse engineer, decompile, or disassemble the Service
– Use the Service to send unsolicited communications (spam)
– Violate any applicable laws including TCPA, CAN-SPAM, GDPR, or CCPA

3. SUBSCRIPTIONS AND BILLING

*3.1 Plans.* Nexus is offered on a subscription basis. Current plans and pricing are available at balancedpro.nexus/pricing. All fees are in US dollars.

*3.2 Payment.* Subscriptions are billed monthly or annually in advance. You authorize Balanced Pro to charge your payment method on a recurring basis.

*3.3 Trials.* Free trial periods are offered at our discretion. After the trial period, you will be charged at the applicable subscription rate unless you cancel before the trial ends.

*3.4 Cancellation.* You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

*3.5 Price Changes.* We may change subscription fees upon 30 days written notice. Continued use after the effective date constitutes acceptance of the new pricing.

4. DATA AND PRIVACY

*4.1 Your Data.* You retain all rights to the data you upload, import, or create within Nexus (“Customer Data”). You grant Balanced Pro a limited license to process Customer Data solely to provide the Service.

*4.2 Data Processing.* By using Nexus to store or process personal data of third parties (such as your leads and contacts), you represent that you have the legal right to process that data and that doing so complies with applicable privacy laws.

*4.3 Privacy Policy.* Our Privacy Policy at balancedpro.com/privacy is incorporated into these Terms and describes how we collect and use information.

*4.4 Data Security.* We implement commercially reasonable technical and organizational measures to protect Customer Data. However, no method of transmission over the Internet is 100% secure.

*4.5 Data Retention.* Upon termination, we will retain your data for 30 days, after which it may be permanently deleted. You may request an export of your data before termination.

*4.6 Multi-Tenant Isolation.* Nexus is a multi-tenant platform. Your data is logically isolated from other customers. We implement row-level security and organizational data scoping to prevent cross-tenant data access.

5. COMMUNICATIONS COMPLIANCE

*5.1 TCPA Compliance.* If you use Nexus to send SMS messages, you are solely responsible for obtaining all required consents, honoring opt-out requests, and complying with the Telephone Consumer Protection Act (TCPA) and all applicable telecommunications laws.

*5.2 CAN-SPAM.* If you use Nexus to send email communications, you are responsible for complying with the CAN-SPAM Act, including providing opt-out mechanisms and honoring opt-out requests.

*5.3 Do Not Call.* You are responsible for maintaining and honoring Do Not Call (DNC) lists as required by applicable law.

6. INTELLECTUAL PROPERTY

*6.1 Our IP.* Nexus and all related software, features, and content are owned by Balanced Pro and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

*6.2 Feedback.* If you provide feedback or suggestions about the Service, we may use that feedback without restriction or compensation to you.

7. THIRD-PARTY SERVICES

Nexus integrates with third-party services including Twilio (SMS/voice), Supabase (database), Anthropic (AI), and others. Your use of these integrations is also subject to the respective third-party terms of service. We are not responsible for the availability or performance of third-party services.

8. DISCLAIMERS

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BALANCED PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. INDEMNIFICATION

You agree to indemnify and hold harmless Balanced Pro and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from your use of the Service, your Customer Data, your violation of these Terms, or your violation of any applicable law.

11. TERMINATION

*11.1 By You.* You may terminate your account at any time through the Settings panel or by contacting us at support@balancedpro.com.

*11.2 By Us.* We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, or if we determine in our sole discretion that termination is necessary to protect the Service or other users.

*11.3 Effect.* Upon termination, your access to the Service will cease. Sections 4, 6, 8, 9, 10, and 12 survive termination.

12. GENERAL

*12.1 Governing Law.* These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles.

*12.2 Disputes.* Any dispute arising from these Terms will be resolved by binding arbitration in Atlanta, Georgia, except that either party may seek injunctive relief in court for intellectual property violations.

*12.3 Entire Agreement.* These Terms, together with our Privacy Policy, constitute the entire agreement between you and Balanced Pro regarding the Service.

*12.4 Modifications.* We may update these Terms from time to time. We will notify you of material changes by email or in-app notice. Continued use after the effective date constitutes acceptance.

*12.5 Severability.* If any provision is found unenforceable, the remaining provisions remain in full force.

*12.6 No Waiver.* Failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
